Terms & Conditions (Ora 1 Custom Cabinets)
Effective Date: January 4, 2026
These Terms & Conditions (“Terms”) govern your use of ora-1.com (the “Site”) and, where applicable, your purchase of design, fabrication, delivery, and installation services provided by Ora 1 Custom Cabinets (“ORA 1,” “we,” “us,” or “our”). By using the Site or engaging our services, you agree to these Terms.
If you do not agree, do not use the Site and do not place an order for services.
1) Definitions
- Client/You: Any person or entity using the Site or purchasing services.
- Services: Custom cabinetry design, fabrication, finishing, delivery, and/or installation, and related work.
- Proposal/Estimate/Quote: Pricing and scope documentation we provide.
- Change Order: Any Client-requested modification to scope, materials, dimensions, schedule, or site conditions after approval.
2) Site Use and General Information
The Site provides general information about ORA 1, our portfolio, and ways to contact us. The Site does not guarantee availability, pricing, or lead times. Content is provided “as is” and may be updated without notice.
You agree not to:
- Misuse the Site, attempt unauthorized access, introduce malware, or disrupt the Site’s operation.
- Use the Site for unlawful, fraudulent, or abusive purposes.
3) Intellectual Property
All Site content (including text, photos, graphics, logos, layout, and portfolio images) is owned by ORA 1 or used with permission and is protected by applicable intellectual property laws. You may not copy, reproduce, distribute, or use content for commercial purposes without our written consent.
4) Requests, Quotes, and Scope
A. Inquiries
Submitting a request via the Site (including the Divi Contact Form) does not create a binding contract. A binding agreement exists only when both parties sign a written agreement or otherwise confirm an order in writing and required payments are received.
B. Quotes/Estimates
Quotes are based on information available at the time (measurements, selections, and site conditions). Unless stated otherwise, quotes may expire after a stated period or a reasonable time due to material and labor price fluctuations.
C. Final Measurements
Custom cabinetry depends on accurate site measurements. Unless otherwise agreed in writing, final pricing and production are contingent on verified field measurements. If measurements or site conditions change, a Change Order may be required.
5) Materials, Finishes, and Variations
- Wood and wood-based products are natural and may vary in grain, color, and texture.
- Stains, paints, and finishes may vary due to substrate differences, lighting, and application methods.
- Minor variations are normal in custom work and are not considered defects.
6) Production, Lead Times, and Scheduling
Lead times are estimates and may change due to material availability, vendor delays, shop workload, weather, shipping constraints, or other events outside our control.
Installation schedules depend on site readiness and coordination with other trades. If the site is not ready at the scheduled time, additional trip charges, storage fees, or schedule adjustments may apply.
7) Client Responsibilities (Site Readiness)
Unless otherwise stated in writing, you are responsible for ensuring:
- Jobsite access during agreed hours, including safe access paths.
- Work area is clean, dry, structurally ready, and free of obstructions.
- Utilities (power, water if needed), lighting, and climate control are available as necessary.
- Walls/floors are reasonably plumb/level, and any required prep work is complete.
- Appliances, sinks, fixtures, and specialty items are on-site and match approved specifications by required deadlines.
- Pets, valuables, and fragile items are secured away from the work area.
If site conditions differ from what was represented or expected, we may pause work and issue a Change Order for additional labor/materials.
8) Permits, Code Compliance, and Third Parties
Unless specifically included in writing, permits, engineering, and architectural services are not included. We will perform our work in a professional manner; however, overall code compliance may depend on other trades and conditions beyond our scope.
We are not responsible for delays or defects caused by other contractors, prior work, or structural/substrate issues.
9) Changes to Scope (Change Orders)
Any change to design, materials, finishes, layout, dimensions, hardware, delivery, or installation conditions may require a Change Order and may affect price and timeline.
Change Orders must be approved in writing (including email or signed document) and may require additional deposits before proceeding.
10) Payments, Deposits, and Non-Payment
A. Deposits
Custom cabinetry typically requires a deposit and progress payments because materials are ordered and work is custom-built. Deposit amounts, milestone payments, and due dates will be specified in your agreement/proposal.
B. Payment Terms
Invoices are due as stated on the invoice or agreement. Past due balances may delay production, delivery, or installation.
C. Non-Refundable Custom Work
Because products are custom-manufactured to your specifications, deposits and payments may be non-refundable once design approvals are finalized, materials are ordered, or production has started—subject to your written agreement and applicable law.
11) Cancellations
Cancellation terms depend on the stage of the project (design, material ordering, production, finishing, delivery, installation) and will be governed by your signed agreement. If no separate agreement exists, ORA 1 may retain amounts necessary to cover time, labor, ordered materials, restocking fees, and administrative costs incurred prior to cancellation, where permitted by law.
12) Delivery, Installation, and Punch List
- Delivery and installation dates are estimates.
- After installation, you should review the work promptly and provide a written punch list of any items requiring adjustment within a reasonable timeframe.
- Normal on-site adjustments are part of the custom process; however, changes requested after approval may be treated as Change Orders.
13) Warranty and Exclusions
Any warranty terms (duration and coverage) will be stated in your written agreement or invoice. Unless otherwise stated, warranty coverage generally applies to workmanship under normal residential use and excludes:
- Normal wear and tear
- Damage from misuse, abuse, neglect, or improper cleaning
- Water intrusion, excessive humidity, fire, flooding, or other environmental conditions
- Alterations or repairs by others
- Building movement, settling, or substrate issues
- Variations in natural wood grain/color and finish changes caused by sunlight/aging

14) Limitation of Liability
To the maximum extent permitted by law:
- ORA 1 will not be liable for indirect, incidental, consequential, special, or punitive damages (including lost profits, loss of use, or delay damages).
- ORA 1’s total liability for any claim relating to the Site or Services will not exceed the amounts actually paid to ORA 1 for the specific Services giving rise to the claim.
Some jurisdictions do not allow certain limitations, so portions of this section may not apply to you.
15) Indemnification
You agree to indemnify and hold harmless ORA 1 from claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising from your misuse of the Site, violation of these Terms, or unlawful conduct.
16) Third-Party Links and Services
The Site may contain links to third-party websites (e.g., social media). ORA 1 is not responsible for third-party content, policies, or practices. Access third-party sites at your own risk.
17) Privacy
Your use of the Site is also governed by our Privacy Policy and Cookie Policy. Please review those pages to understand how we collect and use information and cookies.
18) Dispute Resolution; Governing Law; Venue
These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any legal action arising from these Terms or the Services will be brought in courts located in Duval County, Florida, unless otherwise required by applicable law.
19) Changes to These Terms
We may update these Terms from time to time. The “Effective Date” reflects the most recent revision. Continued use of the Site after changes constitutes acceptance of the updated Terms.
